Listing Agreement (Offer Agreement)
for Venue Placement on Montenegro-Venues.com**
This document constitutes a legally binding public offer (the “Offer”) issued by Montenegro Venues (the “Operator”, “we”, “us”) to venue owners and their authorised representatives (the “Venue”, “you”) regarding the placement and promotion of venue information on https://montenegro-venues.com (the “Website”).
By submitting venue information, sending photos or videos, or requesting placement on the Website, you acknowledge and fully accept the terms of this Offer.

1. Subject of the Agreement
1.1. The Operator provides the Venue with services for publishing information, photographs, videos, descriptions, availability details, pricing and other materials on the Website for marketing and promotional purposes.
1.2. Placement may include a free basic listing and optional paid promotional packages selected by the Venue.
1.3. The Operator acts exclusively as a marketing and listing platform.
We do not own, manage or operate any Venue and do not guarantee the quality, safety, legality, availability, pricing or suitability of any Venue.
2. Submitted Materials and Rights of Use
2.1. The Venue provides photographs, videos, descriptions, logos and other content (“Materials”) electronically or through Website submission forms.
2.2. By submitting Materials, the Venue represents and warrants that:
a) it holds all necessary rights, licenses and permissions to the Materials, including from photographers, videographers, designers and any other rightsholders;
b) all identifiable individuals (guests, staff, models, suppliers, etc.) have given valid consent for use of their image for commercial purposes;
c) the Materials do not infringe any intellectual property rights, privacy rights, personality rights or other rights of third parties;
d) the Materials comply with applicable laws in Montenegro and all other jurisdictions where the Operator may use them.
2.3. The Venue grants the Operator a non-exclusive, royalty-free, worldwide license to use the Materials solely for the purpose of promoting the Venue, including:
a) publication on https://montenegro-venues.com;
b) use across Montenegro Venues’ social media channels;
c) inclusion in digital brochures, catalogues and curated publications;
d) display in email marketing, partner platforms and paid advertising campaigns.
These rights are granted for the duration of this Agreement.
2.4. The Venue may revoke marketing-use rights (excluding Website placement) by written notice. The Operator will cease new uses of the Materials within 10 business days and will remove them where reasonably feasible.
2.5. Automatic extension to updated Materials.
Any new or corrected Materials provided by the Venue automatically fall under the same license unless explicitly stated otherwise in writing.
2.6. Indemnity for Materials
The Venue shall fully indemnify and hold harmless the Operator, its directors, employees and contractors against all claims, damages, fines, costs and expenses (including legal fees) arising from:
a) allegations that the Materials infringe third-party rights or law;
b) complaints from individuals depicted in the Materials;
c) inaccurate, misleading or unlawful information provided by the Venue.
3. Services Provided by the Operator
Depending on the selected service tier, the Operator may provide:
a) creation of the Venue profile on the Website;
b) publication and formatting of photos, videos and descriptions;
c) optional development of wedding packages and pricing presentation;
d) SEO optimisation of the Venue page;
e) inclusion in curated lists, guides or digital magazines;
f) visibility through Montenegro Venues’ marketing channels;
g) optional paid advertising campaigns (Google/Meta).
3.1. The Operator may edit descriptions for clarity, quality, formatting and SEO, without altering the core characteristics of the Venue.
3.2. No guarantee of visibility or ranking.
The Operator does not guarantee the Venue’s appearance in specific search results, curated lists, marketing campaigns or ranking positions.
3.3. No obligation to publish or maintain a listing.
The Operator may decline content or remove a listing at its discretion if it does not meet quality, legal or brand standards.
3.4. The Operator may, but is not obligated to, verify the accuracy of Venue information.
4. Rights and Obligations of the Parties
4.1. Venue Responsibilities
The Venue agrees to:
a) provide accurate, updated and non-misleading information;
b) notify the Operator promptly of any changes;
c) submit high-quality Materials;
d) manage client enquiries independently unless a separate Agency Agreement is signed;
e) ensure compliance with all applicable laws (data protection, advertising, consumer protection);
f) obtain all necessary consents and rights for Materials;
g) notify the Operator of any claims or legal risks related to the Venue or Materials.
4.2. Operator Responsibilities
The Operator will:
a) publish the Venue information within a reasonable time (usually 3–10 business days);
b) use Materials solely within the agreed scope;
c) update the Venue profile upon reasonable request;
d) store backups, logs and internal notes for security, fraud prevention and legal protection.
4.3. Operator Rights
The Operator may, at its sole discretion and without prior notice:
a) decline, edit, hide or remove any Materials or listings;
b) suspend or restrict the Venue’s access in case of violations or legal risks;
c) modify the Website structure, design or algorithms;
d) retain backups and internal records for legal and security purposes.
5. Agency Services and Commissions
5.1. This Offer does not obligate the Venue to pay commissions.
5.2. If the Venue appoints Montenegro Venues as an agent for lead generation or booking support, a separate written Agency Agreement shall define commissions and payment terms.
5.3. Unless such an agreement is signed, the Operator acts solely as a listing platform and is not a party to any agreements between the Venue and clients.
6. Limitation of Liability
6.1. The Operator provides marketing and listing services only and does not guarantee any specific:
• number of enquiries,
• quality of enquiries,
• bookings or revenue,
• ranking or visibility,
• traffic volume or advertising performance.
6.2. The Operator is not a party to agreements between the Venue and clients and shall not be liable for any disputes, cancellations, payments, refunds, service failures or damages arising from such relationships.
6.3. The Operator is not responsible for failures of hosting providers, third-party platforms or internet services.
6.4. To the maximum extent permitted by law, the Operator shall not be liable for indirect or consequential damages, including loss of profits, business opportunities or reputation.
7. Force Majeure
Neither Party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, cyberattacks, strikes, government actions or major service interruptions.
8. Term and Termination
8.1. This Agreement becomes effective upon acceptance and remains valid until terminated.
8.2. The Venue may request removal of its profile at any time by emailing contact@montenegro-venues.com.
8.3. The Operator may suspend or remove a listing immediately in case of:
a) repeated violations of this Offer;
b) misleading, fraudulent or illegal activities;
c) copyright or privacy complaints;
d) reputational or legal risks affecting the Operator.
8.4. The Operator will remove the Venue’s public profile within a reasonable time (typically up to 14 business days). Backups may be retained for legal purposes.
9. Personal Data
9.1. Personal data is processed in accordance with the Website’s Privacy Policy.
9.2. The Venue warrants that any staff or representative data submitted for publication (names, contact details, photos) is provided with proper legal consent. The Venue shall indemnify the Operator for any related claims.
10. Amendments to the Offer
The Operator may amend this Offer at any time.
Continued use of the Website after publication of an updated version constitutes acceptance of the new terms.
If the Venue disagrees with any changes, it may request profile removal.
11. Governing Law
This Agreement is governed by the laws of Montenegro.
Any disputes shall be resolved through negotiation or, if unsuccessful, by the competent court in Montenegro.
